CORPORATE GOVERNANCE OFFICER

Purpose

In order to protect the rights and interests of shareholders and strengthen the functions of the Board of Directors, the Board of Directors resolved on 2020/12/17 to appoint a Head of Corporate Governance. Due to internal job adjustments, the Board of Directors agreed on 2021/03/17 that Mrs. Hsiu-Chi Chan, the Finance Manager, would assume the position of the Head of Corporate Governance starting from 2021/04/01. Mrs. Hsiu-Chi Chan has more than 20 years of experience in the financial management of the public offering company.

Operation

The main responsibilities of the Head of Corporate Governance are to handle matters of the meetings of the Board of Directors and the shareholders' meeting in accordance with the law, to document meeting minutes of the meetings of the Board of Directors and shareholders’ meetings, to assist the Directors in taking office and their continuing trainings, to provide information needed for the Directors to execute business, and to assist the Directors in complying with the laws and regulations.
